Please read these terms carefully before using BuildAble POS.

1. Acceptance of Terms

By accessing or using BuildAble POS ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and BuildAble.cloud regarding your use of the BuildAble POS platform. You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement.

If you are using the Service on behalf of a company, organisation, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Description of Service

BuildAble POS is a Point of Sale & Repair Management (POS) platform designed to help phone repair shops, electronics retailers, and related businesses manage their operations efficiently. The Service includes, but is not limited to, the following features:

  • Repair job management and tracking
  • Sales processing and transaction recording
  • Inventory management and stock tracking
  • Customer relationship management
  • Staff and role management
  • Reporting and analytics
  • Receipt printing and QR code generation
  • Audit logging and activity tracking

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration & Security

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials, including your password.

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

We support multi-factor authentication (MFA) and strongly encourage all users to enable it for additional account security. BuildAble.cloud will never ask for your password via email, phone, or any other unsolicited communication.

4. Shop Management

The Service is organised around shops. When you create a shop, you become the shop owner. As shop owner, you have full control over the shop, including the ability to add and remove users, assign roles and permissions, manage subscription settings, and control data access within the shop.

Each shop operates as a separate data container. Data within one shop is isolated from other shops. The shop owner is responsible for all activity that occurs within their shop and for ensuring that all users invited to the shop comply with these Terms.

You may create and manage multiple shops subject to the limitations of your subscription plan. We reserve the right to limit the number of shops, users, or other resources per account to prevent abuse.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation.
  • Use the Service to store, process, or transmit any unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable content.
  • Attempt to gain unauthorised access to the Service, other user accounts, or our computer systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Use any automated system, including robots, spiders, or scrapers, to access the Service in a manner that sends more request messages than a human can reasonably produce in the same period.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or process sensitive personal data beyond what is reasonably necessary for point of sale and repair management operations.
  • Share account credentials or allow multiple individuals to use a single user account.

We reserve the right to investigate and take appropriate action against anyone who violates these acceptable use provisions, including removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Data Ownership & Backup

You retain all ownership rights to the data you input into the Service ("Your Data"). We do not claim any ownership over Your Data. By using the Service, you grant us a limited licence to host, store, process, and display Your Data solely for the purpose of providing the Service to you.

While we maintain automated backups as part of our standard operations, we strongly recommend that you maintain your own independent backups of Your Data. Our automated backups are designed for disaster recovery and system restoration purposes and should not be relied upon as your primary backup solution.

You are responsible for the accuracy, quality, integrity, legality, and appropriateness of Your Data. You must ensure that you have all necessary rights, licences, and permissions to upload, store, and process Your Data through the Service.

7. Billing & Payment

BuildAble POS operates on a subscription model with the following tiers: Starter, Professional, and Enterprise. Full pricing details are available on our Pricing page and may be updated from time to time.

Subscriptions are billed on a monthly or yearly basis, depending on the billing cycle you select. All payments are processed securely through Stripe. You agree to provide current, complete, and accurate billing information. You authorise us to charge your chosen payment method for all fees incurred.

We offer a 30-day free trial for new subscribers. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You will not be charged during the trial period, but you must provide valid payment information to start the trial.

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties associated with your subscription, excluding taxes based solely on our income.

If a payment fails, we may suspend your access to the Service until payment is received. We reserve the right to change our subscription fees upon reasonable notice. Any fee changes will take effect at the start of the next billing cycle.

8. Service Level & Availability

We aim to maintain a high level of availability for the Service. However, the Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

We may need to perform scheduled maintenance, updates, or repairs that may result in temporary downtime. We will endeavour to schedule maintenance during low-usage periods and provide advance notice where practicable. Emergency maintenance may be performed without prior notice.

We do not offer a formal service level agreement (SLA) for uptime guarantees on standard subscription tiers. Enterprise customers may negotiate custom SLA terms as part of their agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BuildAble.cloud and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Errors, mistakes, or inaccuracies in the Service.
  • Personal injury or property damage resulting from your use of the Service.

In no event shall our total liability to you for all claims exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the liability, or one hundred pounds sterling (£100), whichever is greater.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BuildAble.cloud and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of another person or entity.
  • Your Data or any content you submit, post, transmit, or make available through the Service.
  • Your negligence or wilful misconduct.

We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defence of such claims.

11. Termination

You may terminate your account and these Terms at any time by contacting us or using the account deletion features within the Service. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we believe that you have violated these Terms or that your conduct may harm us, other users, or third parties.

Upon termination, all licences and other rights granted to you under these Terms will immediately cease. We are not obligated to retain Your Data after termination. We may delete Your Data in accordance with our data retention policies, which are described in our Privacy Policy.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding data ownership, limitation of liability, indemnification, and dispute resolution.

12. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of BuildAble.cloud and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom and foreign countries.

Our trademarks, service marks, logos, and trade names may not be used without our prior written consent. You are not granted any right or licence to use our intellectual property except as necessary to use the Service in accordance with these Terms.

You retain all intellectual property rights in Your Data. You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, and display Your Data solely for the purpose of operating, providing, and improving the Service.

13. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and processing of personal data is governed by our Privacy Policy and Data Processing Agreement (DPA), which are incorporated into these Terms by reference.

We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable UK data protection laws. If you are processing personal data of EU or UK data subjects through the Service, you are the data controller and we act as your data processor for that data.

You are responsible for ensuring that you have obtained all necessary consents and have a lawful basis for processing personal data through the Service. You must not use the Service to process personal data in violation of applicable data protection laws.

14. Grant Support Access

BuildAble POS includes a unique "Grant Support Access" feature that allows you to temporarily authorise BuildAble.cloud support staff to access your shop data for troubleshooting and support purposes.

When you enable this feature, our support team may access your shop data, settings, and user activity logs to diagnose and resolve technical issues. Support access is granted on a time-limited basis and can be revoked by you at any time.

We will only access your data through this feature when explicitly requested by you or when necessary to resolve a support ticket you have raised. All support access is logged and audited for transparency and security.

By using the Grant Support Access feature, you acknowledge and consent to our support staff accessing your shop data for the limited purpose of providing technical support. We will not use this access for any other purpose, and we will maintain the confidentiality of your data in accordance with our Privacy Policy.

15. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

We may release updates, enhancements, or new features to the Service from time to time. These updates may be automatic and may modify or delete existing features. Your continued use of the Service after any such changes constitutes your acceptance of the modified Service.

We may provide early access to beta or experimental features. These features are provided "as is" for evaluation purposes and may contain bugs or errors. We do not guarantee that beta features will be released in their current form, or at all.

16. Third-Party Services

The Service may integrate with or provide links to third-party services, websites, or resources. We do not control and are not responsible for the content, policies, or practices of any third-party services.

Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to review these terms before using any third-party services. We do not warrant or endorse any third-party services.

We use third-party service providers to host, maintain, and support the Service, including but not limited to cloud infrastructure providers, payment processors, and analytics services. These providers may have access to your data solely to the extent necessary to perform their services.

17. Export Compliance

You may not use or export the Service in violation of United Kingdom export laws and regulations, or the export laws and regulations of any other applicable jurisdiction. You represent and warrant that you are not located in a country that is subject to a government embargo, or that has been designated by any government as a "terrorist supporting" country.

You further represent and warrant that you are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable export and import laws and regulations in your use of the Service.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of England and Wales. You waive any objection to venue in such courts.

19. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting each other. If the dispute cannot be resolved informally within thirty (30) days, either party may escalate the matter.

Any dispute that cannot be resolved informally shall be finally resolved through binding arbitration in London, United Kingdom, in accordance with the Arbitration Rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in English. The award of the arbitrator shall be final and binding on the parties.

Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction for injunctive or other equitable relief to protect its intellectual property rights, or to enforce payment obligations.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from these Terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and BuildAble.cloud regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning its subject matter.

22. Changes to Terms

We reserve the right to modify or replace these Terms at any time, in our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect, by posting the updated Terms on our website and notifying you via email or through the Service.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

We encourage you to review these Terms periodically for any changes. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
